Mandelbaum, PhD.

  3. Words importing the singular include the plural and vice versa, and words importing any gender include all genders.

  2. No Medical, Psychiatric, or Psychological Advice: The Content provided on the Website does not constitute, and shall not be construed as, professional medical advice, clinical psychology advice, psychiatric evaluation, psychotherapy, clinical diagnosis, or medical treatment of any kind.
  3. No Doctor-Patient or Therapist-Patient Relationship:
    • Visiting, reading, browsing, or interacting with the Website does not establish, create, or constitute a doctor-patient, psychologist-patient, therapist-client, or other confidential or fiduciary healthcare relationship between you and the Company, Dr. Mandelbaum, or any associated clinician.
    • Submitting a Consultation Inquiry, contact form, electronic mail message, or preliminary question through the Website does not establish a clinical therapist-patient relationship.
    • A formal and legally recognized therapist-patient relationship is established strictly and solely when you and the Practice have executed a comprehensive written Clinical Services Agreement, completed formal clinical intake documentation, verified identity and state residency, and mutually agreed to commence care following a clinical evaluation.
  4. You should not rely upon any Content on the Website as a substitute for individualized, in-person or formal telehealth psychological evaluation, psychiatric consultation, or medical care from a licensed healthcare professional. Never disregard professional medical advice or delay seeking such advice because of something you have read or accessed on this Website.

4. Emergency, Crisis, and Immediate Safety Disclaimer

  1. NOT AN EMERGENCY OR CRISIS SERVICE: THE WEBSITE, ITS ELECTRONIC CONTACT FORMS, CONSULTATION INQUIRY SUBMISSIONS, AND ASSOCIATED PRACTICE EMAIL ADDRESSES ARE NOT MONITORED TWENTY-FOUR (24) HOURS A DAY, SEVEN (7) DAYS A WEEK, AND MUST NEVER BE USED FOR MEDICAL EMERGENCIES, PSYCHIATRIC CRISES, SUICIDAL IDEATION, HOMICIDAL IDEATION, OR ANY URGENT SAFETY CONCERNS.
  2. If you are experiencing a life-threatening emergency, a severe mental health crisis, thoughts of self-harm or suicide, or if you believe you or another person may be in immediate danger, you must immediately take one or more of the following actions:
    • Call 911 (or your local emergency services telephone number) immediately;

  3. Neither the Company nor Dr. Mandelbaum shall be liable for any harm, injury, loss, or adverse outcome resulting from a User’s attempt to use the Website, its contact forms, or electronic communication channels for emergency or crisis intervention.

5. Practice Scope, Multi-State Jurisdiction, and Telepsychology (PSYPACT)

  1. Matthew G. Mandelbaum, PhD, is a licensed clinical psychologist holding professional practice licensure and authorization in specific jurisdictions within the United States.
  2. Clinical psychology and psychotherapy services offered by the Practice are strictly limited to clients located in states and jurisdictions where Dr. Mandelbaum holds active licensure or lawful authorization to practice, including:
    • The State of New York;
    • The State of Connecticut;
    • The State of Florida (via Florida Telehealth Provider registration); and
    • Participating states under the Psychology Interjurisdictional Compact (PSYPACT) pursuant to the Authority to Practice Interjurisdictional Telepsychology (APIT).
  3. Verification of participating PSYPACT states may be accessed via the official PSYPACT regulatory map at https://psypact.gov/page/psypactmap.
  4. Access to the Website from jurisdictions outside these authorized states does not constitute an offer, solicitation, or provision of psychological services in such jurisdictions.

6. Consultation Inquiries, Form Submissions, and Communications

  1. The Website provides an electronic contact and inquiry form located at https://groundbreakertherapy.com/contact/ to allow prospective clients to submit preliminary inquiries regarding clinical fit, scheduling, and service information.
  2. Data Collection and User Certification: When submitting a Consultation Inquiry, you will be prompted to provide your name, email address, telephone number, state of physical residence/location, what you are seeking help for, and how you heard about the Practice. By submitting this form, you expressly certify and warrant that:
    • You are at least eighteen (18) years of age and legally competent to consent to services;
    • You agree to be contacted by Groundbreaker Therapy and the Practice via the contact details provided;
    • All information submitted is true, accurate, current, and solely your own; and
    • You understand that your information will only be used to respond to your inquiry and will not be sold or shared with unauthorized third parties.
  3. Paubox Secure Email Protocol: Consultation Inquiries and electronic transmissions delivered via the Website are processed and transmitted using Paubox encrypted email protocols to enhance transmission security. However, Users acknowledge that no method of electronic internet transmission can be guaranteed to be entirely invulnerable, and submission of sensitive clinical details prior to formal intake is discouraged.
  4. No Obligation or Service Guarantee: The submission of a Consultation Inquiry does not obligate the Company or Dr. Mandelbaum to accept you as a clinical client, schedule an appointment, or provide clinical services. The Practice reserves the right to decline services or refer inquiries to other providers based on clinical scope, capacity, licensure boundaries, or therapeutic fit.
  5. Complimentary Fit Consultation: Any initial telephone or video consultation arranged through the Website is complimentary and intended solely to assess mutual clinical fit, practical scheduling, and scope of care. Such initial consultations do not constitute the initiation of an ongoing psychotherapy treatment relationship.
  6. Out-of-Network / Private Pay Practice: The Practice operates as an out-of-network / private-pay clinical psychology practice. No clinical fees or therapy payments are processed directly through the Website.
  7. Non-Research Status: Inquiries submitted through the Website are strictly for prospective private clinical consultations and are NOT part of a clinical trial, paid clinical research study, or subject compensation program.

7. Permitted Use and Prohibited Conduct

  1. Users are granted a limited, personal, revocable, non-exclusive, non-transferable right to access and view the Website strictly for personal, non-commercial, and informational purposes in accordance with these Terms.

8. Intellectual Property Rights and Proprietary Content

Exclusive Ownership: The Website and all Content, including without limitation the wordmarks and logos “PSYSOED Dynamics,” “PSYSOED DYNAMICS, LLC,” “Groundbreaker Therapy,” and all proprietary articles, clinical frameworks, therapeutic methodologies, blog posts, graphics, audio, video, website architecture, and software code, are the exclusive intellectual property of Matthew G. Mandelbaum, PhD and PSYSOED DYNAMICS, LLC, protected under United States and international copyright, trademark, trade secret, and other intellectual property laws.
  2. Reservation of Rights: All rights not expressly granted to Users under these Terms are reserved entirely by the Company and Dr. Mandelbaum.
  3. Limited License: Subject to your strict compliance with these Terms, you are granted a limited, non-exclusive, non-sublicensable, non-transferable, revocable license to access, view, and temporarily download single copies of Website pages solely for your personal, non-commercial, informational viewing.
  4.     • YOUR ACCESS TO, USE OF, OR INABILITY TO ACCESS OR USE THE WEBSITE OR ITS CONTENT;
    • ANY INTERRUPTION, SUSPENSION, DELAY, OR DEFECT IN WEBSITE TRANSMISSION OR SERVER AVAILABILITY;

11. Indemnification

  1. You agree to defend, indemnify, and hold harmless PSYSOED DYNAMICS, LLC, Matthew G. Mandelbaum, PhD, and their respective managers, members, employees, contractors, agents, successors, and assigns from and against any and all claims, demands, actions, liabilities, losses, judgments, damages, penalties, fines, costs, and expenses (including reasonable attorneys’ fees and litigation costs) arising out of or resulting from:

    • Your improper, unlawful, or unauthorized use of the Website or its Content;
    • Any Consultation Inquiry, contact form, message, or data submitted by you that violates the rights of any third party or contains fraudulent or misleading information; or
    • Your violation of any applicable municipal, state, federal, or international law, rule, or regulation.
  2. The Company reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you agree to cooperate fully with the Company in asserting all available defenses.

12. Governing Law, Dispute Resolution, and Jurisdiction

  1. Governing Law: These Terms, and any dispute, claim, controversy, or proceeding of whatever nature arising out of or relating to the Website, its Content, or these Terms, shall be governed by, construed, and enforced in accordance with the substantive laws of the State of New York, United States of America, without giving effect to any principles of conflicts of law that would apply the laws of another jurisdiction.
  2. Jurisdiction and Venue: Any legal suit, action, or proceeding arising out of or related to these Terms or the Website shall be instituted exclusively in the federal or state courts situated in the County of New York, State of New York. You irrevocably submit to the exclusive personal jurisdiction of such courts and waive any objection to the laying of venue in such courts or claims that such proceeding has been brought in an inconvenient forum.
  3. Waiver of Jury Trial: TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND THE COMPANY HEREBY KNOWINGLY, VOLUNTARILY, AND INTENTIONALLY WAIVE ANY AND ALL RIGHTS TO A TRIAL BY JURY IN ANY LEGAL ACTION, PROCEEDING, CLAIM, OR COUNTERCLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE WEBSITE.
  4. Class Action Waiver: YOU AGREE THAT ANY PROCEEDING TO RESOLVE OR LITIGATE ANY DISPUTE ARISING UNDER OR RELATING TO THESE TERMS OR THE WEBSITE SHALL BE CONDUCTED SOLELY ON AN INDIVIDUAL BASIS.   5. Relationship of the Parties: Nothing contained in these Terms shall be construed as creating any agency, partnership, joint venture, employment, or fiduciary relationship between you and the Company or Dr. Mandelbaum.
  6.
